Important: By accessing this website or placing an order with Mililab, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website.

2. Acceptance of Orders
All orders are subject to acceptance and confirmation. We reserve the right to refuse or cancel any order for any reason, including but not limited to:
- Product availability
- Suspected fraud or unauthorized activity
- Pricing errors or inaccuracies
- Shipping restrictions to certain locations
3. Pricing & Payment
- All prices are listed in USD unless otherwise specified.
- We reserve the right to modify prices at any time without prior notice.
- Payment is processed securely through Stripe. We accept major credit cards, Apple Pay, and Google Pay.
- For custom or large orders, we may require a deposit (50% of order value).
- Currency conversion and foreign transaction fees are the responsibility of the buyer.
- Import duties and taxes are calculated and included at checkout. Mililab handles all customs clearance. See Section 12 for details.
4. Shipping & Delivery
- Lead Time: Production takes 8–12 weeks from order confirmation. Shipping time varies depending on your location.
- Delivery: DDP delivery to your shipping address. Threshold delivery (carrier delivers to the entrance of your home or building) is included worldwide. In-room delivery, unpacking, and packaging removal may be available in select markets at the carrier's discretion; Mililab does not guarantee these services in all locations. Customers in regions where the upgraded service is not available are responsible for moving the piece into their home.
- Shipping Costs: Shipping and import duties are calculated and included at checkout. No additional charges at delivery.
- Risk Transfer: All shipments are fully insured during transit. Risk transfers to the buyer upon confirmed delivery to the buyer's address.
- Delivery Estimates: Lead times are estimates only and not guaranteed. Mililab shall not be liable for delays in production or shipping. Orders cannot be cancelled solely due to production delays unless the delay exceeds 12 weeks beyond the original estimate.
5. Returns & Cancellations
- Cancellations: You may cancel your order within 48 hours of placement for a full refund. After 48 hours, a 20% cancellation fee applies as production begins immediately.
- Returns & Exchanges: Due to the made-to-order nature of ENWA furniture, we cannot accept returns or exchanges for change of mind.
- Damaged or Defective Items: If your piece arrives damaged or with manufacturing defects, contact us within 48 hours of delivery with photos. We will arrange repair or replacement at no cost.
- Refunds: Refunds for defective items are processed within 14 business days of confirmation.
6. Product Descriptions & Images
We strive to accurately represent our products. However:
- Colors may vary slightly due to monitor settings and natural wood variation.
- Wood grain, color, and character will vary from piece to piece — each item is unique.
- Dimensions are approximate and may vary ±2%.
- We reserve the right to modify product specifications without notice.
Marketing claim substantiation
The following explains the basis for comparative statements made on our website:
- "The same oak · the same European cloth · sold direct." ENWA frames are made from solid North American white oak; cushions use contract-grade textiles from European mills (Kvadrat as standard; Dedar and Alcantara as upgrades). "Sold direct" means Mililab sells from its own studio without third-party showroom or dealer margins. "Without the design-house markup" is a statement of our direct-to-customer pricing model, not a guarantee of price parity with any specific named brand on any specific product.
- "Only solid wood can be sanded back." Solid timber can be repeatedly sanded and refinished through its thickness. Veneered panels (veneer over plywood, MDF, or particleboard) carry only a thin surface layer — typically a fraction of a millimetre — which cannot be materially sanded back without exposing the core. This is a general property of the materials, not a measured test of any specific competitor product.
- Competitor construction references (Cassina, Roche Bobois, B&B Italia, Minotti, Poliform, HAY, Muuto, IKEA). All construction descriptions (e.g. "veneer on MDF", "solid wood + veneer", "particleboard") are drawn from each maker's own publicly published product specifications and care documentation, linked beside the relevant chart. Brands are characterised by construction method only; we do not attribute specific prices or numeric ratings to any named competitor. Positions on comparative charts are illustrative of construction category and general market price band, not exact figures.
- Durability timeline (the 50-year "life lanes"). The timeline is an illustrative representation of typical serviceable lifespan by construction type under normal domestic use and reasonable care; it is not a warranty of any specific lifespan. Actual longevity depends on use, environment, and maintenance. Mililab's structural warranty terms are set out in Section 9 below.
- "Mililab — and almost no one else." Refers to the relative rarity of full solid-wood (non-veneered) construction at this design tier and price band, based on the published specifications of the brands referenced. It is a general market characterisation, not a claim of uniqueness.
- Cushion durability figures. Martindale rub-cycle and related durability figures are taken from each textile mill's own published specifications: signature wool (Kvadrat) ~45,000 Martindale; Dedar bouclé / linen-viscose flagship ~80,000 Martindale; Alcantara per the manufacturer's published rating; full-grain leather rated by flex (~50,000 cycles), not Martindale. "Contract grade" denotes the 40,000-Martindale threshold commonly specified for commercial/hospitality use. Stated lifespans ("decades", "a lifetime") are conservative heavy-wear estimates under normal domestic use and reasonable care, not warranties of a specific duration.
All trademarks and brand names referenced belong to their respective owners and are used for factual comparison and identification only. Mililab is not affiliated with, endorsed by, or sponsored by any referenced brand.
7. Intellectual Property
- All content on this website (images, text, designs, logos) is the property of Mililab Co., Ltd.
- You may not reproduce, distribute, or use our content without written permission.
- ENWA is a registered trademark of Mililab Co., Ltd.
8. Limitation of Liability
Mililab's liability is limited to the purchase price of the product. We are not liable for:
- Indirect, incidental, or consequential damages
- Loss of profits or business opportunities
- Damage caused by improper use or maintenance
- Normal wear and tear
9. Warranty
Our products come with a warranty covering manufacturing defects:
- Structural: 5 years on solid oak frames and load-bearing components.
- Finishes: 1 year on surface finishes, upholstery, and moving parts.
- Exclusions: Warranty does not cover damage from misuse, accidents, unauthorized modifications, or natural material changes.

10. User Accounts
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to provide accurate and complete information when creating an account.
- We reserve the right to suspend or terminate accounts that violate these terms.
11. Prohibited Uses
You may not use our website to:
- Engage in illegal activities
- Submit false or fraudulent information
- Interfere with the website's operation
- Harass, defame, or harm others
12. Import Duties, Customs & Taxes
All ENWA furniture ships from our manufacturing facility. International orders may be subject to import duties, customs fees, value-added tax (VAT), goods and services tax (GST), or other charges imposed by the destination country.
- Duties & Taxes: Import duties and taxes are calculated and included at checkout. Mililab handles customs clearance — no surprise charges at delivery.
- Delivery Terms: All orders are shipped DDU (Delivered Duties Unpaid). The buyer is the importer of record.
- No Refunds for Duties: Mililab will not refund, reimburse, or compensate for any duties, taxes, or fees charged by customs authorities.
- Customs Delays: Mililab is not responsible for delays caused by customs inspection or clearance procedures.
- We recommend contacting your local customs authority or a licensed customs broker for duty estimates before placing an order.
13. Force Majeure
Mililab shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, epidemics, or pandemics
- War, terrorism, civil unrest, or government sanctions
- Supply chain disruptions, raw material shortages, or factory closures
- Shipping carrier delays, port congestion, or customs holds
- Power outages, system failures, or cyberattacks
In such events, Mililab will notify the buyer promptly and resume performance as soon as reasonably practicable. If a delay exceeds 16 weeks, either party may cancel the order for a full refund minus any non-recoverable costs.
14. Natural Material Variation
All ENWA furniture is crafted from natural materials. The buyer acknowledges and accepts that:
- Solid wood has inherent variations in grain pattern, color, and texture. No two pieces are identical.
- Natural leather and premium fabrics may show subtle variations in texture, color tone, and surface character.
- Wood may develop natural patina and color shifts over time due to light exposure — this is expected and desirable.
- These natural characteristics are not defects and do not constitute grounds for return, exchange, or refund.
15. Indemnification
The buyer agrees to indemnify, defend, and hold harmless Mililab Co., Ltd., its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Misuse, modification, or improper maintenance of the product
- Violation of these Terms of Service
- Any third-party claims related to the buyer's use of the product
16. Dispute Resolution
- Good Faith Resolution: Before initiating any legal action, both parties agree to attempt to resolve disputes through good-faith email correspondence within 30 days.
- Mediation: If direct resolution fails, disputes may be referred to mediation in Tokyo, Japan.
- Governing Law: These Terms are governed by and construed in accordance with the laws of Japan.
- Jurisdiction: Any unresolved disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court (東京地方裁判所).
- Consumer protection laws of the buyer's country may apply for purchases made for personal, non-commercial use.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms of Service, together with our Privacy Policy, Warranty Policy, and Shipping Policy, constitute the entire agreement between the buyer and Mililab Co., Ltd. regarding the use of this website and the purchase of products. No verbal or written representations outside of these documents shall be binding.
19. Changes to Terms
We may update these Terms of Service at any time. Your continued use of our website constitutes acceptance of any changes.
